BirdFlex Marketplace Terms of Use

Welcome to the BirdFlex Marketplace Terms of Use (“Terms”). These Terms govern your access to and use of the BirdFlex Marketplace, which includes any directory, app marketplace, template library, partner listings, integrations, or related services made available by BirdFlex, LLC (“BirdFlex,” “we,” “us,” or “our”).

By accessing or using the BirdFlex Marketplace in any way—whether as a user, customer, partner, developer, provider, or visitor—you agree to these Terms. If you do not agree, you may not use the Marketplace.

BirdFlex may update these Terms at any time. Continued use of the Marketplace after updates means you accept the revised Terms. You are responsible for reviewing them periodically.

1. Key Definitions

“Marketplace” refers to BirdFlex’s online ecosystem where users can discover, access, and connect with third-party offerings such as apps, templates, services, integrations, and digital tools.

“Service Providers” means individuals or companies that list or offer products or services on the Marketplace.

“Service Offerings” means any product, integration, template, tool, software, or service made available through the Marketplace.

“User” or “You” means anyone accessing or using the Marketplace.

“Customer” means any person or business that purchases or uses a Service Offering.

“Partner” means any approved contributor, developer, affiliate, or provider participating in BirdFlex programs.

“Content” means any text, images, data, listings, reviews, or materials submitted or displayed through the Marketplace.

“Third-Party Services” means external products or services not owned or controlled by BirdFlex.

2. Access and Use of the Marketplace

BirdFlex grants you a limited, non-exclusive, revocable right to access and use the Marketplace in accordance with these Terms.

We may modify, suspend, or discontinue any part of the Marketplace at any time without notice. We may also restrict or remove listings, features, or access at our sole discretion.

BirdFlex does not guarantee approval, promotion, or continued availability of any Service Provider or Service Offering.

3. User Conduct

You agree to use the Marketplace responsibly and in compliance with all applicable laws and policies.

You may not:

  • Use the Marketplace for illegal or harmful purposes

  • Attempt to disrupt or interfere with the platform

  • Upload misleading, false, or abusive content

  • Infringe intellectual property rights

  • Impersonate others or misrepresent your affiliation

We may suspend or terminate access if we believe you have violated these Terms or any related policies.

4. Content Rights and License

By submitting content to the Marketplace, you grant BirdFlex a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and adapt your content for operating and promoting the Marketplace.

You confirm that you own or have the rights to any content you submit.

BirdFlex may remove or edit content at any time.

5. Service Providers and Listings

Service Providers are independent third parties. They are responsible for the accuracy, quality, and delivery of their Service Offerings.

BirdFlex does not guarantee or endorse any Service Provider or Service Offering, even if featured or labeled as verified.

We may remove listings or providers at any time without notice.

6. Customer Responsibility

If you engage with a Service Provider, your relationship is strictly between you and that provider.

BirdFlex is not responsible for:

  • Service quality or performance

  • Disputes between users and providers

  • Payments made outside of BirdFlex systems

  • Data shared with third-party providers

You use all Service Offerings at your own risk.

7. Reviews and Feedback

The Marketplace may allow users to leave reviews or ratings.

By submitting a review, you agree that:

  • Your review is honest and based on real experience

  • BirdFlex may display, edit, or remove your review

  • We may use your feedback for platform improvement or marketing

We may remove any review we consider inappropriate, misleading, or abusive.

8. Third-Party Links and Services

The Marketplace may contain links to third-party websites or services.

BirdFlex does not control or endorse third-party services and is not responsible for their content, policies, or actions.

Your use of third-party services is entirely at your own discretion.

9. Suspension and Termination

We may suspend or terminate your access to the Marketplace at any time if:

  • You violate these Terms

  • You misuse the platform

  • Your actions create legal, financial, or security risks

  • We determine it is necessary for platform integrity

Termination may occur without prior notice.

10. Warranties and Representations

You represent that:

  • You have the legal right to use the Marketplace

  • Your content does not infringe any rights of others

  • You will comply with all applicable laws and policies

  • Any Service Offerings you provide are accurate and lawful

11. Indemnification

You agree to protect and hold harmless BirdFlex, its owners, employees, and affiliates from any claims, damages, losses, or legal actions arising from:

  • Your use of the Marketplace

  • Your content or listings

  • Your interactions with other users or providers

  • Any violation of these Terms

12. Disclaimers

The Marketplace is provided “as is” and “as available.”

BirdFlex makes no guarantees regarding:

  • Availability or uptime

  • Accuracy of listings or content

  • Performance of third-party services

We disclaim all warranties to the maximum extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, BirdFlex shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

Our total liability for any claim shall not exceed $500 USD.

14. Intellectual Property

All BirdFlex branding, systems, software, and Marketplace structure are owned by BirdFlex or its licensors.

You may not copy, reproduce, or redistribute any part of the Marketplace without written permission.

15. Payments and Plans

Some features or listings may require payment or subscription.

Failure to maintain payment may result in suspension of access.

BirdFlex is not responsible for third-party billing or integrations.

16. Advertising and Promotions

You may not misrepresent BirdFlex, its pricing, or its services in advertising.

You may not create misleading promotions or unauthorized discount structures involving BirdFlex services.

17. Acceptable Use

You agree not to:

  • Abuse or overload the system

  • Scrape or copy Marketplace data without permission

  • Use the platform to spam or distribute harmful content

18. Changes to the Marketplace

BirdFlex may change, update, or discontinue features at any time without liability.

We are not responsible for losses caused by system updates or changes.

19. Governing Law

These Terms are governed by the laws of the United States and the Commonwealth of Virginia, without regard to conflict of law principles.

Any disputes shall be resolved in courts located in Virginia, unless otherwise required by law.

20. General Terms

  • These Terms represent the entire agreement between you and BirdFlex regarding the Marketplace

  • If any part is found invalid, the rest remains enforceable

  • We may assign or transfer our rights under these Terms

  • You may not assign your rights without our permission
